Terms of Service

These Terms govern your use of Wise Noted at wisenoted.com and its installed web app. The service is operated by Deinora OÜ in Estonia. By creating an account or using the service, you agree to these Terms and the Privacy Policy.

If you use Wise Noted for an organisation, you confirm that you are authorised to act for it. If you cannot legally enter into this agreement, or if your use requires parent or guardian authorisation and you do not have it, you must not use the service.

Wise Noted lets users record or upload audio, type or paste text, upload supported documents, and create, clean, structure, save, organise and export notes. Audio transcription uses ElevenLabs Scribe v2 server-side. Note cleanup and structuring use AI models selected through the service’s current AI gateway and routing. Features and supported formats may change as the service develops.

You may sign in using Google OAuth or an email link or code. You are responsible for maintaining control of your email account and devices, keeping your session secure, and promptly telling us about suspected unauthorised access. Do not share access in a way that bypasses plan, credit or security limits.

Account information must be accurate enough to administer the service. You are responsible for activity performed through your account unless applicable law provides otherwise. Our access controls keep account content private, but no online service can guarantee absolute security.

Some processing actions use credits. Wise Noted shows the applicable cost before a job begins. Free allowances may be subject to daily, monthly, job-size and anti-abuse limits and do not represent cash value. Paid plans may include recurring credits and higher limits. Extra purchased credits and included plan credits can have different expiry, renewal and spending rules, as shown in the service when you purchase or use them.

Prices, taxes, plan features, credit packages and limits are shown on the Pricing or checkout page and may change prospectively. We will not retroactively change a completed purchase. Material subscription changes will be communicated where required by law. Credits cannot be transferred or redeemed for cash unless the law requires otherwise.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, taxes (including VAT), renewals and cancellations are governed by Paddle's Buyer Terms. The checkout shows the price, taxes, billing period and renewal terms before you pay. Wise Noted Pro renews monthly until cancelled; after cancellation, Pro remains active until the end of the paid period. Paddle processes payment details; Wise Noted receives purchase and entitlement status rather than full card details.

Refunds are available within 30 days as described in our Refund Policy. A refunded or reversed purchase may remove unused credits or access attributable to that purchase, but we will not create a negative credit balance. Nothing in these Terms limits mandatory consumer rights, including rights that may apply to digital services in your country.

You retain ownership of content you submit and of any rights you have in your notes and outputs. You grant Deinora OÜ a limited, non-exclusive permission to host, copy, transmit, transcribe, transform and otherwise process that content only as needed to provide, secure and support the features you request, including through our service providers.

You confirm that you have the rights and lawful basis needed to submit the content and request its processing. This includes obtaining any permission required to record or upload other people’s speech, meetings, personal data or protected material. Do not submit content you are not authorised to process.

You must not use Wise Noted to:

• break the law, violate another person’s rights or process unlawfully obtained content;
• create, distribute or facilitate harmful, abusive, fraudulent or deceptive material;
• attempt unauthorised access, interfere with the service, upload malware, probe security controls or evade technical limits;
• farm free credits, create accounts to evade restrictions, manipulate purchases or abuse refunds or chargebacks;
• resell or automate access in a way not expressly permitted by us; or
• use outputs as a substitute for qualified legal, medical, financial or other professional advice.

Transcription and AI-generated output may be incomplete, inaccurate or unsuitable for your purpose. Names, numbers, dates, specialist terms, speaker attribution and meaning can be misheard or changed despite safeguards. You must review important output against the original source before relying on, sharing or acting on it.

Wise Noted does not guarantee that generated text is original, error-free or legally usable in every context. It does not verify citations or create reliable sources unless a feature expressly says otherwise. You remain responsible for your content, instructions, edits and use of the output.

Source audio is deleted by default after successful processing and saving. Pro users may choose before processing to keep it for 24 hours or save it. Failed or incomplete jobs may keep pending input for recovery for up to six hours. More detail appears in the Privacy Policy.

You may delete your account from the Account page. Deletion removes the account and its saved user content, subject to limited legal, payment, security and backup retention. Pseudonymous anti-abuse signals may remain temporarily to prevent immediate free-credit abuse; they do not restore deleted content or identity data.

We may limit free usage, require an additional security check, suspend processing or terminate access where reasonably necessary to address abuse, fraud, security risks, non-payment, unlawful activity or a material breach of these Terms. Shared-network signals alone are not intended to hard-block a legitimate user. Purchased usage remains subject to security and acceptable-use controls.

Where appropriate, we will give notice and an opportunity to resolve the issue, but immediate action may be necessary to protect users, the service or third parties. You may stop using Wise Noted at any time and may delete your account.

We may maintain, update, add, remove or replace service features and providers. We aim to keep Wise Noted available and preserve user data, but uninterrupted or error-free operation is not guaranteed. Temporary outages, provider failures and maintenance can occur.

If we discontinue a material paid service, we will provide notice and any remedy required by applicable law. We may update these Terms prospectively. The updated date will appear above, and we will provide additional notice for material changes where appropriate.

Wise Noted is provided with reasonable care and skill, subject to any mandatory warranties or remedies that apply to you. To the extent permitted by law, we do not promise that the service or AI-generated output will meet every requirement, be continuously available or be free from errors.

To the extent permitted by applicable law, Deinora OÜ is not responsible for indirect or unforeseeable loss caused by use of the service, reliance on unreviewed output, content you were not authorised to process, or events outside our reasonable control. Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence. Mandatory consumer remedies remain unaffected.

These Terms are governed by Estonian law, without depriving consumers in the European Economic Area or elsewhere of mandatory protections provided by the law of their country of residence. Disputes are handled by the courts that have jurisdiction under applicable law. Before starting formal proceedings, please contact us so we can try to resolve the issue.
